| § 1 |
|
The association bears the name
"1. Deutscher Minox-Club e.V."
It is located in Giessen and was
inscribed to the corporation register
on February 17th, 1993 under no 1994. The adress of
its offices is identical with the adress of the
respective chairman. |

| § 2 |
|
Purpose of the association:
The purpose of the association is
the promotion of MINOX-photography especially by
- interchange of information
- editing and publishing the "MINOX Freund" magazine
- organization of membership meetings. |
|
|
|
| § 3 |
|
1.
The association operates unselfishly
and does not pursue mainly economic objects for
itself.
2. Money
of the association must only be used for statutory
purposes. The members do not receive any financial
support from the means of the association.
3.
No person may be favoured by
expenses thar are not common to the purpose of
the association or by inadequately high
indemnifications. |

| § 4 |
|
Rights and duties of the members:
1.
The members have the privilege of
support and promotion through the association within
the framework of the statue. The visit and use of
meetings and facilities are at their disposal under
observance of the directions given by the executive
committee.
2.
The members have equality of votes
during the members assembly. The right of voting is
not transferable.
3.
The members are obliged
a) to follow the statue
and the disposals according to the articles of the
organs of the association,
b) to support the efforts of
the association,
c) to discharge the
subscription according to the articles on the 1st of
January of every year in advance. |

| § 5 |
|
Beginning and expiration of the
membership:
1.
The admission motion must be sent in
writing to the directory which will then decide.
2.
The membership expires due to a.
death, b. voluntary leave, c. cancellation in the
list of members, d. exclusion.
3.
The voluntary leave must be declared
in writing to the directory. It is possible at the
end of the year with a delay of 3 months.
4. Members
that did not pay the due subscription until
September 30th can be struck of the list of members
if the directory passes a resolution.
5.
Members can be excluded from the
association by anonymous vote of the directory if
there is an important reason. Reasons for
suspensions are especially offences against
decisions of the meeting of all members. The member
concerned can object against the decision at the
meeting of all members within a delay of four weeks.
The decision is taken definitely during the next
meeting. |

| § 6 |
|
Organs of the association:
The organs
of the association are
a) the executive
committee,
b) the membership
meeting. |
|
|
|
| § 7 |
|
The directory:
1.
The executive committee serves in an honorary
capacity and consists of
a) the chairman,
b) three vice-chairmen,
c) the treasurer.
2.
The
executive committee gives itself standing orders in which
the distribution of the rates of functions for the
members of the directory is arranged.
3.
The
executive committee is elected by the meeting of all
members for three years.
4.
The association is represented by the chairman
respectively the vice-chairmen according to ¤ 26
article 2 BGB. Two of them represent together. The
whole
executive committee decides upon the expenses of the
association which are higher than the quintuple of
an ordinary membership fee.
5.
The
executive committee meets at least two times per annum. It
decides with simple majority of votes upon all
matters of the association if they are not reserved
for the membership meeting. |

| § 8 |
|
The meeting of all members:
1.
The membership meeting must be called at least
once per annum. The members must be invited with a
delay of four weeks with details of the agenda.
2.
An extraordinary membership meeting must be
called if the
executive committee finds it necessary or if at
least of the ordinary members requires it in writing
with indication of the reasons.
3.
The membership meeting decides with simple
majority of votes of the members present. For
statute changes a majority is necessary. If
requested votes are carried out confidentially.
4.
The membership meeting is responsible for
a. the election of the directory,
b. the approval of the annual balance,
c. the approval of the accounts of the
executive committee,
d. the election of two auditors and their
substitutes for three years,
e. the resolution regarding statute changes,
f. the fixation of membership fees and entrance
fees,
g. the resolution regarding motions of the
executive committee
and of members,
h. the resolution regarding the dissolution of the
association and the expenditure of the possibly
existing means.
5.
The resolutions of the meeting of all members have
to be written down, signed by the chairman and the
recorder and announced to the members. |

| § 9 |
|
Dissolution of the association:
1.
The dissolution is only possible if a meeting of all
members is called for this purpose and if a
majority of votes of the members present is
obtained.
2.
In the event of a dissolution or cessation of the
hitherto existing aim the remaining means of the
association are transferred to a corporation under
public law or an other corporation with tax
concessions which must use them immediately and
exclusively for objects of public utility according
to ¤ 3 art. 1 of this statute. |
